Terms of Service

21/01/2026

1. Introduction

These Terms of Service ("Terms") govern your use of the services provided by SHARINGANG LTD, a private limited company registered in England and Wales (Company Number: 16974326), with its registered office at Suite 3h, The Old Courthouse, Chapel Street, Dukinfield, United Kingdom, SK16 4DT ("Sharingang", "we", "us", "our").

By subscribing to or using our services, you ("Client", "you", "your") agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

If you do not agree with any part of these Terms, you must not use our services.

2. Services

Sharingang provides subscription-based digital development and design services, including but not limited to:

  • Website design and development
  • Web application development
  • SaaS product development (MVP and full-scale)
  • Mobile application development (iOS and Android)
  • UI/UX design services

Services are delivered remotely on a task-by-task basis as described in the applicable plan. We reserve the right to modify the scope or nature of services offered at any time, with reasonable notice to active subscribers.

3. Subscription Plans and Billing

3.1 Plans

We offer the following plans:

  • Standard — A fixed monthly subscription at the rate published on our website (currently £4,999 per month). Includes one active task at a time, 72-hour average delivery during working days, unlimited revisions, basic hosting, and standard support.
  • Enterprise — Custom pricing based on a quote, including premium support, a dedicated account manager, custom hosting and infrastructure, and priority delivery.

Design services may also be provided on a standalone quote basis outside of the subscription model.

3.2 Billing

Subscription fees are billed monthly in advance from the date of subscription activation. Payment is due upon invoice. We accept payments through our designated payment processor. All prices are in British Pounds Sterling (GBP) unless otherwise stated.

Late payments may result in suspension of services. We reserve the right to charge interest on overdue invoices at a rate of 4% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

3.3 Price Changes

We may adjust pricing with at least 30 days' written notice. Price changes will take effect at the start of your next billing cycle following the notice period. If you do not agree with a price change, you may cancel your subscription before it takes effect.

4. How It Works

4.1 Task Submission

After subscribing, you will be given access to a private project board. You may add as many tasks as you wish to the queue. We will work on one task at a time (Standard plan) or as agreed under your Enterprise arrangement.

4.2 Delivery

We aim to deliver each task within 72 working hours (Monday to Friday, excluding UK public holidays). Delivery timelines are estimates, not guarantees. Complex tasks may take longer, and we will communicate revised timelines where applicable.

4.3 Revisions

All plans include unlimited revisions on each task. A "revision" is a modification to a delivered task based on your feedback. Revisions do not include changes to the original scope or brief of a task — such changes constitute a new task.

4.4 Acceptance

You are responsible for reviewing deliverables in a timely manner. If you do not provide feedback or approval within 7 calendar days of delivery, the task will be deemed accepted, and we will proceed to the next task in your queue.

5. Pausing and Cancellation

5.1 Pausing

You may pause your subscription at any time. Unused days in your billing cycle will be preserved and credited when you resume. There is no limit to how long you may remain paused. Pausing takes effect immediately upon request.

5.2 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing cycle. No refunds will be issued for partial months unless required by applicable law.

5.3 Termination by Us

We may terminate or suspend your subscription immediately if:

  • You breach any material provision of these Terms;
  • You fail to pay any amounts due within 14 days of a written payment reminder;
  • You use or request our services for any unlawful or unethical purpose;
  • Your conduct or requests are abusive, threatening, or unreasonable.

6. Intellectual Property

6.1 Ownership of Deliverables

Upon full payment for the applicable billing period, all intellectual property rights in the deliverables created for you are assigned to you. This includes source code, designs, assets, and any other work product specifically created for your tasks.

6.2 Pre-existing IP

We retain ownership of any pre-existing intellectual property, tools, frameworks, code libraries, or methodologies that we use in the course of delivering your tasks. Where such pre-existing IP is incorporated into your deliverables, we grant you a perpetual, non-exclusive, royalty-free licence to use it as part of your deliverables.

6.3 Third-Party IP

Some deliverables may incorporate third-party software, libraries, fonts, images, or other assets. These remain subject to their respective licences. We will inform you of any material third-party dependencies and their licence terms.

6.4 Portfolio Rights

Unless you notify us in writing otherwise, we reserve the right to display completed work in our portfolio, case studies, and marketing materials. This does not include any of your confidential information or proprietary business data.

7. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the services ("Confidential Information"). Confidential Information does not include information that is publicly available, already known, independently developed, or lawfully received from a third party.

Confidentiality obligations survive termination of the subscription for a period of 2 years.

8. Data Protection

We process personal data in accordance with our Privacy Policy and applicable data protection legislation, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

Where we process personal data on your behalf in the course of providing services, we will do so only in accordance with your documented instructions and will implement appropriate technical and organisational measures to protect that data.

9. Warranties and Disclaimers

9.1 Our Warranty

We warrant that services will be provided with reasonable skill and care, consistent with generally accepted industry standards.

9.2 Disclaimer

Except as expressly stated in these Terms, all warranties, conditions, and representations, whether express or implied (including implied warranties of merchantability, fitness for a particular purpose, and non-infringement), are excluded to the fullest extent permitted by law.

Without limiting the foregoing:

  • We do not guarantee that any deliverable will achieve specific business results, revenue, or outcomes;
  • We do not warrant that deliverables will be free from all errors or defects (we will, however, correct reported issues as part of your revision allowance);
  • We do not guarantee uptime, availability, or performance of any hosting services included in your plan — basic hosting is provided "as is";
  • We are not responsible for any third-party services, APIs, or platforms that your project depends upon.

10. Limitation of Liability

10.1 Cap

To the maximum extent permitted by law, our total aggregate liability to you for any claims arising out of or in connection with these Terms or our services shall not exceed the total fees paid by you to us in the 3 months immediately preceding the event giving rise to the claim.

10.2 Exclusions

We shall not be liable for any:

  • Indirect, incidental, special, consequential, or punitive damages;
  • Loss of profits, revenue, data, business, goodwill, or anticipated savings;
  • Damages arising from the use or inability to use any deliverable;
  • Damages arising from any delay or failure caused by events beyond our reasonable control (force majeure).

10.3 Statutory Rights

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Sharingang, its directors, officers, and employees from and against any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising from:

  • Your use of the deliverables;
  • Your breach of these Terms;
  • Any content, data, or materials you provide to us;
  • Your violation of any applicable law or regulation;
  • Any claim by a third party related to your use of the services or deliverables.

12. Acceptable Use

You may not use our services to:

  • Create or distribute any content that is unlawful, defamatory, obscene, or harmful;
  • Infringe upon the intellectual property rights of any third party;
  • Build products or services that facilitate illegal activities;
  • Engage in any activity that could damage our reputation or disrupt our operations;
  • Resell our services without our prior written consent.

We reserve the right to refuse any task that, in our reasonable discretion, violates this clause.

13. Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to natural disasters, pandemics, war, terrorism, government actions, power failures, internet outages, or third-party service disruptions.

14. Dispute Resolution

14.1 Informal Resolution

Before initiating formal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation for a period of at least 30 days from written notice of the dispute.

14.2 Governing Law

These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales.

14.3 Jurisdiction

The courts of England and Wales shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms.

15. General

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any applicable order form or statement of work, constitute the entire agreement between you and Sharingang with respect to the services and supersede all prior agreements, understandings, and representations.

15.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

15.3 Waiver

No failure or delay by either party to exercise any right or remedy shall constitute a waiver of that right or remedy.

15.4 Assignment

You may not assign or transfer your subscription or any rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to a successor in the event of a merger, acquisition, or sale of substantially all of our assets.

15.5 Notices

Notices under these Terms should be sent by email to hello@sharingang.com or to the email address associated with your account.

15.6 No Partnership

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between the parties. Sharingang operates as an independent contractor.
